Pre-Launch divviso.com Confidentiality Agreement

I. OVERVIEW - Ventura Verde, Inc. will soon launch Divviso, Inc., a new entrepreneurial business venture. At the moment, Divviso is being developed in non-public stealth mode, so any and all business information about the Divviso venture is currently considered to be proprietary and confidential.

Nevertheless, in order to further Divviso's business objectives, Ventura Verde understands that it must share with Divviso's team members and other collaborators on the Divviso project, as appropriate and on a "need to know" basis, certain internal, non-public strategic business information which is considered by Ventura Verde to be highly confidential, proprietary, and/or privileged intellectual property and, therefore, of significant business and competitive value (hereinafter, collectively, Confidential Information).

II. PURPOSE OF THIS AGREEMENT - The purpose of this Confidentiality Agreement (hereinafter Agreement) is to request that every Divviso team member and collaborator, prior to receiving any Confidential Information, agree: (1) To respect the proprietary, privileged and private nature of the Confidential Information; and (2) To refrain from disclosing any of the Confidential Information to any third party without the explicit written consent of Ventura Verde.

III. NON-BINDING AGREEMENT - This Confidentiality Agreement is a request, not a legally-binding or enforceable contract. Instead, the Agreement is intended to be notification to Divviso team members and collaborators that, in the furtherance of the Divviso venture, Ventura Verde will, from time to time, share certain Confidential Information with the Divviso team members and collaborators with the expectation that the Divviso team members and collaborators will, with as much diligence as possible, respect and protect the proprietary value of the shared Confidential Information.

IV. SPECIFIC SHARED CONFIDENTIAL INFORMATION: DIVVISO.COM - On March 13, 2025, Venture Verde privately published the Review Version of the divviso.com website, which is currently under development. Immediately thereafter, Ventura Verde sent Divviso's team members and collaborators private passcodes to enable them to log in to the Review Version of divviso.com in order to review the website and provide professional feedback to Ventura Verde and the website's design team. Ventura Verde considers every aspect of divviso.com - its concept, design, content, and structure - to be Confidential Information and requests that all Divviso team members and collaborators respect divviso.com as Confidential Information. Specifically, Ventura Verde makes the following three requests of all Divviso team members and collaborators. Except with the advance written consent of Ventura Verde:  1) Do not share any information about or from divviso.com with any third party; 2) Do not take screenshots or otherwise copy any part of divviso.com; and 3) Treat any and all information on or related to divviso.com with the same respect that you treat your own Confidential Information.
